1. Acceptance of Terms: By completing the purchase of a DiPro insurance policy, “Business Equity Protection Plan,” ("Policy") through Business Equity Protection Association’s (“BEPA”) online platform, you ("Purchaser") acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions and desire to obtain the Policy.  BEPA and DiPro reserve the right to decline any request for subscription and/or coverage. 

 

2. Policy Details:The Policy includes specific details regarding coverage, limits, exclusions, and other pertinent information. The Purchaser is responsible for reviewing these details prior to purchase to ensure the Policy meets their needs. 

 

3. Payment and Billing: The Purchaser agrees to pay for the Policy using the accepted payment methods as indicated on BEPA’s website. Billing will occur as specified during the purchase process, and the Purchaser is responsible for any applicable fees or taxes. Coverage is contingent upon receipt of premium payment.  No coverage will be deemed in effect until premium is received by the company or their representative. 

 

4. Delivery of Policy Documents: Upon completion of the purchase, Purchaser will receive the full Policy documents electronically, to the email address provided or through a secure download link. 

 

5. Cancellation and Refunds: The Purchaser may cancel the Policy within thirty days for a full refund, or thereafter prior to the Expiration Date as specified in the cancellation policy, for a partial refund to be calculated on a pro-rata basis, subject to any fees or penalties as detailed in the cancellation policy.

 

6. Privacy and Data Protection: BEPA and DiPro Insurance are committed to protecting the privacy and security of the Purchaser's personal and financial information. Our privacy policy outlines the measures we take to safeguard this information. 

 

7. Governing Law and Dispute Resolution: These Terms and Conditions are governed by the laws of the states where BEPA and DiPro are domiciled, Wyoming and Utah, respectively. Any controversy or claim arising out of or relating to the purchase of this Policy, shall be submitted exclusively to final and binding arbitration before, and in accordance with, the laws of Wyoming (for disputes with BEPA), or Utah (for disputes with DiPro), and judgment upon the award may be entered in any court having jurisdiction thereof; provided, however, that this clause shall not be construed to limit any rights which BEPA or DiPro may have to apply to any court of competent jurisdiction for injunctive or other provisional relief. The arbitrator agrees to determine the arbitrability of any dispute. This arbitration provision shall be deemed self-executing, and in the event that either party fails to appear at any properly noticed arbitration proceeding, an award may be entered against such party notwithstanding said failure to appear. Such arbitration shall be conducted by JAMS, at its offices and shall be governed by the rules of JAMS then in force and effect. The parties agree that the arbitrator shall not have the power to award punitive damages against any party.

 

8. Limitations of Liability: BEPA and DiPro Insurance's liability in connection with the Policy is limited to the extent permitted by law. The Purchaser acknowledges that BEPA and DiPro Insurance are not liable for any indirect, incidental, or consequential damages. 

 

9. Any exposure changes that deviate from the original enrollment form must be reported to BEPA in writing.  Any exposure changes that deviate from the original enrollment form that are not reported to BEPA in writing will not be afforded coverage.  Additionally, reporting of exposure changes that deviate from the original enrollment form does not guarantee coverage.  BEPA and DiPro Insurance reserve the right to decline coverage based on exposure changes. 

 

10.Amendments and Updates: BEPA and DiPro Insurance reserves the right to amend these Terms and Conditions at any time. Continued use of the online platform and purchase of Policies following such changes constitutes the Purchaser's acceptance of the new terms.
